                 SELLER AGREEMENT

OVERVIEW

Welcome to constructionproducts.ae !!

constructionproducts.ae is the e-commerce platform of Construction Materials Online General Trading, Post Box 9100, Abu Dhabi – UAE.

Construction Materials Online General Trading (referred as “CP”) provide Online Store or Website services when you visit or shop at the Website or mobile applications in Google or Apple Play store constructionproducts.ae (hereby referred as “cp.ae”). Throughout the site, the terms “we”, “us” and “our” refer to CP or cp.ae

This document is the Terms of Service for the SELLER AGREEMENT between You (Seller) and CP or cp.ae regarding the use of website and mobile applications to sell your products. Please read these Terms of Service carefully before using our website. By using the website or related mobile applications, you agree to be bound by these Terms of Service.

This Agreement will not get activated until You complete the process of Account opening, Purchase of Seller Package, Uploading of documents, Verification of account by cp.ae in our Website, Payment receipt and Confirmation email from cp.ae.

If you are under the age 18, you may only use constructionproducts.ae with the involvement of a parent or guardian.

By completing the registration process and uploading your Products, images, you agree to be bound by this Seller Agreement, Terms of Service, Product listing Policy and Privacy Policy incorporated by CP and cp.ae

Unless you have Separate or additional agreements with CP, this document represents the  Seller Agreement, supersedes all written, verbal agreement that may have been made between you and CP or cp.ae to Sell your Product in our website or any related applications.

All activities that occur under your account(s) will be considered authorized by you and responsible for any consequences because of misuse if any of your accounts.

RESPONSIBILITY OF SELLER

1.       By the Purchase of Seller Package, Completion of Registration Process you agree to have the Authority to accept and fulfill the conditions mentioned in this agreement.

2.       The information and documents submitted for the Registration process must be True, accurate and Complete, should be updated for any changes on the documents while your account in cp.ae is active.

3.       Depending on the Seller Packages selected you will be entitled to the benefits mentioned in terms of Product Category, Locations, Display of logo etc.

4.       Through this Agreement, You give consent to CP and cp.ae to access your documents in our database and use or share the information as described in our Terms of Service and Privacy Policy.

5.       The content (Product info, images etc) you upload in the Seller profile must not violate any copyright, patent, trademarks, or any other rights of Third party and You have the right/authority to Sell these products in UAE.

6.       Listing of these Products, images etc in cp.ae should not violate any exclusive agreements of Agency, Distributorship etc with the manufacturers or any third party.

7.       You agree to Sell products which are not prohibited in UAE or are not part of any Trade or other legal restrictions in UAE or any International country or Jurisdiction.

8.       Update of Product Inventory, Product details, Images, Prices, Datasheets, delivery time, Payment terms, contact details, etc in Business Profile of website and mobile applications.

9.       Do not impersonate any persons or organisation, manipulate feedbacks using fictious accounts in cp.ae to deliver intended positive or negative responses to yourself or another business partner of CP or cp.ae

10.   Do not engage in any activities that will defraud CP, cp.ae or any third party or business partners of cp.ae.

11.   Do not engage cp.ae solely to solicit information of other users, products, or additional sales offline or direct with the Buyer who contacted you through cp.ae

12.   You agree to indemnify, defend, and hold harmless constructionproducts.ae and our parent, subsidiaries, affiliates, partners, officers, directors, interns, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party

OPERATIONAL MODEL

Website and mobile applications of cp.ae provides a platform to connect BUYERS and SELLERS to identify, compare, Purchase and Sell Construction Products based on Specific category, Brands, and locations in UAE.

Sellers are given the option to select a specific Seller Package (Diamond, Platinum, Gold or Silver) through “Connect your Business” to cater to their Product category, Location and avail a variety of benefits which are associated with each Seller package.

We reserve the right to update, change or replace any part of these Seller Packages by posting updates and/or changes to our website. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

Buyers have the choice of selecting the Seller based on their products, price, payment terms, delivery style etc. through our website or mobile application of constructionproducts.ae

When a Buyer place an order to purchase a product(s) from a Seller (You) through our platform constructionproducts.ae, we will send you an e-mail confirming receipt of the Order, containing the details of products and prices (the "Order Receipt Confirmation E-mail"). It is your responsibility to reconfirm the Order directly to the buyer along with agree Payment terms, delivery schedule etc.

CP or cp.ae do not represent buyers or sellers in any transaction nor a party to any agreement between them and we cannot provide a guarantee on the transactions between Buyer and Seller.

Buyers and Sellers must agree on and create their own contractual terms including Leadtime, final offer, Payment terms, Fit for Purpose of products as part of Transactions done through the platform of cp.ae.

The Primary invoicing relationship is between You and the Buyer for the agreed Transactions and contractual terms. You are solely responsible for submitting invoices, collection of Payment etc from the Buyer directly. CP and cp.ae are not liable for any claim of non- payment by the Buyer.

CP or cp.ae does not control or take responsibility for the Quality, Lead-time, Fit for Purpose, Storage, Shipment and Return of the products offered by the sellers or in the completion of Purchase or Payment by the buyer.

CP or cp.ae is not liable for any loss, damages, delayed performance, or delivery due to the transaction in cp.ae between Buyer and Seller. We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party

CP at their discretion may mediate or attempt to resolve any dispute or disagreement between Buyers and Sellers but will not be responsible for the resolution or compensations if any in such a dispute.

Our Contract & Termination

Our Contract will activate after completion of verification of your account by CP and continue for a period mutually agreed until terminated by either You or CP. The Seller Package payment is for One Year period unless agreed for a different time period. CP reserves the right to terminate or suspend this agreement or your account for a breach or violation of any of the Terms of Service in General and in Seller Agreement. You may terminate this Agreement for any reason, at any time by closing your account.

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

LIST OF PROHIBTED ITEMS

The following are a list of prohibited items to comply with UAE law and jurisdiction, which is not exhaustive, and CP reserves the right to determine whether an item is in violation of this policy. CP and cp.ae is a platform for Construction products only based on the various categories mentioned. Any product not related to construction is not allowed to be listed by you. Please contact us for any queries related to Product listing.

CP or cp.ae reserves the right to demand for removal of an item immediately or terminate your account as part of Terms of Service.

GOVERNING LAW

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of United Arab Emirates.

CHANGES TO TERMS OF SERVICE

You can review the most current version of the Terms of Service at any time at this page.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
